These Terms of Service govern your use of the NativeAI website (nativeai.co.il) and any engagement with NativeAI's professional services. By using our website or engaging our services, you agree to these terms.

1. About NativeAI

NativeAI is an AI implementation consultancy based in Israel, providing services including readiness assessments, workshops, strategic blueprints, pilot implementations, and fractional AI leadership. Specific deliverables, timelines, and investment are defined in individual engagement proposals.

2. Website Use

The NativeAI website is provided for informational purposes. All content is subject to change without notice. The AI Readiness Assessment is provided free of charge as an educational resource. Assessment results are indicative only and are not a substitute for a professional consultation.

You may not use the website for any unlawful purpose, to transmit harmful content, or to attempt to gain unauthorized access to any part of our systems.

3. Intellectual Property

All content on this website, including text, images, frameworks, methodologies, and brand elements, is the property of NativeAI and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written permission.

Deliverables created during a paid engagement become the property of the client upon receipt of full payment, as further detailed in the engagement proposal.

NativeAI retains the right to use general methodologies and frameworks developed during engagements for future clients.

4. Confidentiality

Any proprietary or sensitive information you share with NativeAI during a consultation, assessment, or engagement is treated as strictly confidential. NativeAI will not disclose such information to third parties without your explicit written consent, except as required by law.

5. No Guarantee of Results

AI implementation outcomes depend on many factors outside NativeAI's control, including organizational readiness, team engagement, existing infrastructure, and leadership support. NativeAI does not guarantee specific business outcomes or results from its services.

6. Payment Terms

Payment terms are specified in individual engagement proposals. General terms:

•       All prices are exclusive of VAT

•       Payment is due within 30 days of invoice, unless otherwise specified

•       Late payments may result in suspension of services

•       Travel expenses are billed to the client at cost when required

7. Termination

Either party may terminate a service engagement with 30 days' written notice. Fees for work completed and deliverables submitted prior to the termination date remain due and payable. Any prepaid fees for undelivered work will be refunded on a pro-rata basis.

8. Limitation of Liability

To the maximum extent permitted by law, NativeAI's total liability for any claim arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim. NativeAI is not liable for any indirect, consequential, incidental, or punitive damages, including loss of profits or business opportunities.

9. Force Majeure

NativeAI will not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, or significant technology failures.

10. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the State of Israel. Any disputes arising from these terms or from NativeAI's services will be subject to the exclusive jurisdiction of the competent courts in Israel.

11. Changes to These Terms

NativeAI reserves the right to update these Terms of Service at any time. The current version will always be available at nativeai.co.il/terms-of-services. Continued use of the website or services after changes are posted constitutes acceptance of the updated terms.
